Confidential Banking Information Disclosure and Use Agreement


This document contains confidential banking information of Central Lense Inc., a Delaware corporation (“Central Lense”), and is provided solely for the limited purpose of facilitating authorized electronic payments to Central Lense pursuant to an applicable agreement, invoice, or sales order.

1. Purpose and Limited Use

Recipient acknowledges and agrees that Central Lense’s banking information is being furnished solely for the purpose of enabling Recipient to remit payments to Central Lense via Automated Clearing House (ACH) transfer, wire transfer, or other agreed-upon electronic funds transfer method. Recipient shall not use this information for any other purpose.

2. Confidentiality Obligations

Recipient agrees to maintain the confidentiality of Central Lense’s banking information using at least the same degree of care it uses to protect its own confidential financial information, but in no event less than a commercially reasonable standard of care. Recipient shall limit access to such information to those employees, agents, or representatives with a legitimate need to know and solely for the purpose described herein.

3. No Authorization for Debit Transactions

Central Lense’s provision of banking information shall not be construed as granting Recipient or any third party authorization to initiate debit transactions or withdrawals from Central Lense’s account. Any such attempt shall be deemed unauthorized and may constitute a breach of applicable law.

4. Data Security and Transmission

Recipient agrees to implement and maintain reasonable administrative, physical, and technical safeguards to ensure the secure handling, storage, and transmission of Central Lense’s banking information, including but not limited to the use of encrypted communication and restricted internal access controls.

5. Return or Destruction Upon Request

Upon Central Lense’s written request, Recipient shall promptly return or securely destroy all copies of Central Lense’s banking information in its possession, whether in electronic or physical form, and shall certify such return or destruction in writing.

6. Limitation of Liability

Central Lense shall have no liability arising from any unauthorized disclosure, access, or misuse of its banking information after such information is provided to Recipient, except to the extent caused by Central Lense’s own gross negligence or willful misconduct. Recipient shall indemnify and hold harmless Central Lense from any claims, losses, or liabilities resulting from Recipient’s breach of this Agreement.
